1. Agreement to these terms
These Terms of Service (“Terms”) are a binding agreement between Zamino, Inc. (“Zamino,” “we,” “us”) and the business or person using our platform (“you”). By creating an account or using Zamino, you accept these Terms and our Privacy Policy. If you use Zamino on behalf of a company, you confirm you have authority to bind that company.
2. What Zamino is
Zamino is AI-ready data infrastructure for small and medium businesses. We connect the data sources you authorize (banking, accounting, point-of-sale, payments, and similar), organize that data into one history-aware database you control, and make it available to you — in the Zamino app and, if you choose, to AI assistants you connect.
3. Your account
- You must provide accurate information and keep it current.
- You are responsible for safeguarding your credentials and for all activity under your account. Tell us immediately at support@zamino.com if you suspect unauthorized access.
- Zamino is a business tool. You must be at least 18 and using it for business purposes.
- Workspace owners and admins control who joins their workspace and what data each member can access. Access you grant to teammates is your responsibility.
4. Plans, billing, taxes, and trials
- Paid plans are billed at the workspace level, in advance, on a recurring subscription. Current pricing is published on our pricing page.
- Payments are handled by our third-party payment processor. You authorize us (through them) to charge your payment method on each renewal until you cancel.
- Subscriptions renew automatically until cancelled. You can cancel any time; the cancellation takes effect at the end of the current billing period, and no partial-period refunds are given unless required by law.
- Fees are exclusive of taxes. You are responsible for any sales, use, VAT, or similar taxes, except taxes based on our net income.
- If a payment fails or is past due, we may suspend or downgrade paid features after reasonable notice until the balance is resolved.
- We may change prices with at least 30 days’ notice; changes apply from your next billing period.
- Trials and free tiers may be limited, changed, or withdrawn.
5. Your data — you own it
- All data you connect to or store in Zamino (“Customer Data”) belongs to you. We claim no ownership of it.
- You grant us a limited license to host, process, and display Customer Data solely to provide and support the service — nothing else.
- We do not sell Customer Data and we do not use it to train AI models.
- You can disconnect a source or request deletion of your data as described in the Privacy Policy.
6. Connected sources
When you connect a third-party source (for example a bank via Plaid, QuickBooks, a point-of-sale system, or a payment processor), you authorize Zamino to access that data on your behalf — read-only wherever the provider supports it. Your relationship with each provider is governed by their own terms, and we are not responsible for their services, outages, or data accuracy. You confirm you are entitled to connect the accounts you connect.
7. External AI clients
You can connect AI assistants you already use (such as ChatGPT or Claude) to your Zamino data over a secure, read-only connection. If you do:
- Data returned to an AI assistant flows into your account with that AI provider and is governed by your agreement with them — including their retention and model-training settings, which we do not control.
- Connections require explicit approval inside Zamino and can be revoked at any time in Settings → External AI Access.
- You are responsible for the questions you ask and for the access of any AI client you approve.
8. Acceptable use
You agree not to:
- Use the service unlawfully, or connect data you have no right to use.
- Probe, disable, overload, or circumvent security or access controls — including multi-tenant isolation and rate limits.
- Reverse-engineer, copy, resell, or white-label the platform.
- Use the service to build a competing product.
- Share account credentials outside your workspace’s controls.
9. Intellectual property
The Zamino platform — software, design, and documentation — is our intellectual property. If you send us feedback or suggestions, we may use them without obligation to you.
10. Availability, changes, and discontinuation of the service
- We work to keep Zamino available, but we do not guarantee any particular uptime unless we have agreed a separate written service-level agreement with you. Scheduled maintenance and occasional downtime are a normal part of operating a cloud service.
- We may add, change, or remove features over time as the product evolves.
- We may discontinue the service, or a particular plan or feature, at our discretion. If we discontinue the whole service or a paid feature you rely on, we will give reasonable advance notice by email or in-app so you can disconnect your sources and make other arrangements. Your deletion and retention rights in the Privacy Policy continue to apply.
11. Beta and early-access features
We sometimes label features as beta, preview, or early access. These are provided “as is,” may be changed or withdrawn at any time, may be less reliable than generally available features, and are excluded from any commitments in these Terms. Use them at your discretion.
12. Not financial advice
Zamino organizes and surfaces your own business data, including through AI-generated summaries and answers. Outputs may contain errors and are provided for information only — they are not financial, tax, accounting, or legal advice. Verify important figures against your source systems and consult a qualified professional before acting.
13. Disclaimers
The service is provided “as is” and “as available.” To the fullest extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that any data or output will be accurate or complete.
14. Data backup and loss
- We take reasonable technical measures to protect and back up the data held in Zamino, but no method of storage or transmission is completely secure, and we cannot guarantee against all loss or corruption.
- The data Zamino stores is organized from sources you control, which remain your systems of record. You are responsible for keeping your own copies of data that is important to you.
- To the fullest extent permitted by law, we are not liable for any loss or corruption of data, subject to the Disclaimers above and the Limitation of liability below.
15. Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or revenues. Our total liability under these Terms is capped at the amounts you paid us in the 12 months before the claim. Nothing in these Terms limits liability that cannot be limited by law.
16. Indemnification
You will defend and indemnify Zamino against claims arising from your Customer Data, your use of the service in breach of these Terms, or your violation of law or third-party rights.
17. Termination and suspension
- You may stop using Zamino and delete your workspace at any time.
- We may suspend or terminate access for material breach of these Terms, non-payment, or where required by law — with notice where practicable.
- We may suspend access immediately where needed to protect the service, other customers, or to comply with law (for example, a suspected security or abuse incident), and will restore access once the issue is resolved where appropriate.
- After termination, your data is deleted within 30 days as described in the Privacy Policy, except minimal records we must retain for legal, billing, or security reasons.
18. Force majeure
Neither party is liable for any failure or delay caused by events beyond its reasonable control — including internet, cloud, or hosting-provider outages, failures of third-party sources or AI providers, natural disasters, war, or governmental action. This does not excuse payment obligations for service already provided.
19. General
- Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Zamino about the service and supersede any prior agreements on the subject.
- Assignment. You may not assign these Terms without our consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
- Severability. If any provision is held unenforceable, the rest of these Terms stay in effect.
- Waiver. Our failure to enforce a provision is not a waiver of it.
- Notices. We give notice by email to your account address or in-app; you give notice to legal@zamino.com.
- Survival. Provisions that by their nature should survive termination — including data ownership, fees owed, disclaimers, data-loss allocation, limitation of liability, indemnification, and governing law — survive.
20. Changes to these terms
We may update these Terms from time to time. For material changes we will give at least 30 days’ notice by email or in-app. Continued use after the effective date means you accept the updated Terms.
21. Governing law
These Terms are governed by the laws of the Province of Quebec, Canada, without regard to conflict-of-law rules, and disputes will be resolved in the courts of that jurisdiction.
